Effective Date: [TO BE SET]
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS, A LIMITATION OF LIABILITY, A WAIVER OF CLASS ACTIONS, AND A BINDING ARBITRATION PROVISION THAT AFFECT YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE SERVICES OFFERED BY [LEGAL ENTITY NAME] ("Morning Call," "WE," "US," OR "OUR"), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THE "TERMS"). IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.
These Terms form a binding legal agreement between you ("you" or "User") and [LEGAL ENTITY NAME] governing your access to and use of the Morning Call website and any related products or services we may offer (collectively, the "Services"). By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. These Terms and the Privacy Policy are linked from every page of the Services, including the sign-in screen, and may be read without an account. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. You further represent that your use of the Services complies with all laws applicable to you, including securities laws in your jurisdiction of residence.
Morning Call publishes short-form written predictions ("Calls") about publicly traded equities listed on United States exchanges, together with the reasoning and cited sources behind each one, and an automatically maintained record of how those predictions turned out.
Access requires an account. Accounts are currently issued by Morning Call rather than created by visitors: public registration is closed while the published record is being established, and there is no charge for an account that has been issued. Calls are published before the opening bell on trading days.
Every subscriber sees the same Calls. The Services do not tailor content to any individual, do not accept information about your portfolio, holdings, objectives, or risk tolerance, and offer no watchlists, personalized alerts, or per-user filtering of what is published. Morning Call is a publication of general and regular circulation, not a personalized service.
Calls are produced by a documented editorial process:
Content that reaches you is therefore machine-drafted and human-published. Neither step is a guarantee of accuracy. Model output can be, and frequently is, incomplete, outdated, or simply wrong, and editorial review does not and cannot correct every such error.
Each published Call states a symbol, a direction (bullish, bearish, or a neutral "range" Call predicting that the price holds a band rather than moving), a conviction level, a target percentage move, a time horizon, a headline, a written thesis, and the evidence cited.
Horizons are counted in trading sessions, not calendar days: "this session" is 1 session, "one week" is 5, and "one month" is 21. Weekends and exchange holidays are skipped.
Every Call is measured from the opening price of the next trading session after it is published. This is deliberate: it prevents a Call from being credited with a price move that had already happened when it was written.
THE SERVICES ARE PROVIDED SOLELY FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES. NOTHING MADE AVAILABLE THROUGH THE SERVICES CONSTITUTES, AND SHOULD NOT BE CONSTRUED OR RELIED UPON AS, INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, OR A RECOMMENDATION, SOLICITATION, OR OFFER TO BUY, SELL, OR HOLD ANY SECURITY OR OTHER FINANCIAL INSTRUMENT.
Morning Call is not a registered investment adviser, broker-dealer, financial planner, or fiduciary under the Investment Advisers Act of 1940, the Securities Exchange Act of 1934, ERISA, or any comparable state or foreign law, and does not hold itself out as such. No content, feature, or communication from Morning Call — whether drafted by a model, written by a person, or otherwise — creates an advisory, fiduciary, or agency relationship between you and Morning Call.
We do not know your individual financial circumstances, objectives, risk tolerance, or portfolio, and we do not collect that information. The Content is not personalized investment advice tailored to you and is not capable of being so, because it is identical for every subscriber.
You are solely responsible for evaluating the merits and risks associated with any Content before making any investment or trading decision, and you should consult a licensed, independent financial or investment professional before acting on any information obtained through the Services.
Morning Call publishes a record of every Call and how it resolved. Because that record is the principal thing the Services offer, this section states exactly how it is produced. It is a description of a methodology, not a promise of any result.
Resolution is automatic. When a Call's horizon elapses, it is graded against the closing price of the resolving session, taken from our market-data provider. No person enters an outcome, and outcomes are not reviewed or approved before they are recorded.
Grading is strict and fixed. For a directional Call, the outcome is:
The rule changed once, on 15 September 2026. Before that date a Call counted as a Hit at half its stated target. Calls resolved under the earlier rule keep the verdicts they were given — the record is not re-scored after the fact — and each resolved Call records which rule graded it, shown on the Call and marked in the published record. Any Call resolved from that date onward is graded as described above. No further change will be made to these rules without the same disclosure.
For a neutral "range" Call, the outcome is a hit if the move stayed inside the stated band and a miss otherwise. There is no Partial for a range Call: it is measured against the full band, with none of the half-target allowance a directional Call receives. A Partial is not counted as a Hit in any headline figure.
Calls are not edited after publication. There is no mechanism to alter the symbol, direction, target, horizon, or thesis of a published Call.
Calls may be withdrawn. A Call that was published in error may be withdrawn with a stated reason. A withdrawn Call remains publicly visible in the archive together with the reason it was withdrawn, and is excluded from hit-rate and other summary statistics. You should read any summary statistic as excluding withdrawn Calls.
Pre-launch data is excluded. Calls published before [RECORD START DATE] were produced during development, under a materially different configuration, and are not part of the published record. That exclusion was fixed in advance and is not revised in light of results. No other period has been or will be removed from the record.
Past performance is not indicative of future results. A hit rate computed over a small number of resolved Calls carries very wide uncertainty and should not be read as a reliable estimate of future accuracy. Nothing in the record is a projection, and no representation is made that any Call, strategy, or approach will achieve results similar to those shown.
Trading and investing in securities involves substantial risk of loss and is not suitable for every investor. The value of investments can go down as well as up, and you may lose some or all of your invested capital.
You acknowledge and agree that:
THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, OR COMPLETENESS. MORNING CALL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not warrant that Calls will be published on any particular day or at any particular time. Publication depends on systems that may fail, on a third-party data provider, and on editorial judgement; on some days no Call will be published at all.
Morning Call makes no representation or warranty regarding the accuracy, reliability, completeness, or timeliness of any Content or any third-party data incorporated into the Services. Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you, in which case such warranties are limited to the minimum scope and duration permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MORNING CALL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST TRADING GAINS, LOSS OF CAPITAL, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MORNING CALL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORNING CALL'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MORNING CALL FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
The limitations in this Section apply regardless of the form of action and will survive any termination of these Terms. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you in full.
You agree to defend, indemnify, and hold harmless [LEGAL ENTITY NAME] and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) any trading or investment decision you make, in whole or in part, in reliance on Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
Market data used by the Services is supplied by Tiingo, Inc. (tiingo.com). News headlines and regulatory filing references are gathered from public sources including RSS feeds and the U.S. Securities and Exchange Commission's EDGAR system.
Morning Call does not control and is not responsible for the accuracy, legality, or content of third-party data or of any linked third-party website. Inclusion of any third-party data or link does not imply endorsement.
Raw market data is not redistributed. Under the terms of our market-data licence, the Services publish derived outputs — percentage moves, outcomes, and aggregate statistics — but do not display raw price levels. You may not extract, reconstruct, redistribute, or resell any underlying price series from the Services, whether by scraping, automated collection, or otherwise. This restriction is a condition of our own licence and applies in addition to Section 10.
The Services, including all software, models, text, graphics, logos, and Content (excluding data you submit), are owned by [LEGAL ENTITY NAME] or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, Morning Call grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use. You may not copy, redistribute, resell, scrape, or create derivative works from the Services or Content without our prior written consent.
An account is required to access the Services.
Public registration is closed. Accounts are created by Morning Call and issued to a named person at an email address that person controls. If registration is reopened, you will be asked to supply a name, an email address you control, and a password, and to confirm that address before the account can be used; that confirmation requirement applies to any account whose address is changed as well.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Morning Call immediately of any unauthorized use of your account. Morning Call is not liable for any loss arising from your failure to safeguard your credentials.
You may not share an account, and you may not use the Services to create accounts by automated means.
Some features of the Services may in future require payment of a subscription fee. At the Effective Date of these Terms, no paid subscription is offered and no fees are charged. If and when paid features are introduced, the price, billing period, renewal terms, and cancellation method will be disclosed at the point of purchase, and those disclosures will govern.
Except as required by applicable law or as otherwise stated at the time of purchase, fees already paid are non-refundable. Morning Call may change its fees prospectively upon notice to you.
Morning Call may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms. You may terminate your account at any time by discontinuing use of the Services and, if applicable, cancelling your subscription. Sections 3 through 10, 14, and 16 through 19 survive any termination.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court. The arbitration will be conducted on an individual basis only.
YOU AND MORNING CALL EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
If this arbitration provision is found unenforceable as to a particular claim or dispute, that claim or dispute will be resolved in the state or federal courts located in [STATE / COUNTY], and you consent to the personal jurisdiction of such courts.
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles, except to the extent preempted by federal law, including federal securities law.
Morning Call does not solicit or accept custody of client funds or securities, does not execute trades on behalf of Users, does not manage accounts, and does not receive compensation from any issuer, broker, or third party in connection with any Call. We do not accept payment to feature, favour, or omit any security.
Nothing in the Services should be construed as an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such offer or solicitation would be unlawful. The Services are not directed at residents of any jurisdiction where their use would be contrary to local law or regulation, and it is your responsibility to determine whether your use complies with the laws applicable to you.
Morning Call may modify these Terms at any time by posting the revised Terms and updating the Effective Date. Material changes will be notified through the Services or by email. Your continued use of the Services after the effective date of any revision constitutes acceptance of the revised Terms. Morning Call may also modify, suspend, or discontinue any part of the Services at any time without liability to you.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Morning Call regarding the Services. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Morning Call's failure to enforce any right or provision will not be deemed a waiver of such right or provision. You may not assign these Terms without Morning Call's prior written consent; Morning Call may assign these Terms without restriction.
Questions about these Terms may be raised through Settings → Contact support inside the Services, which reaches us directly, or sent to [MAILING ADDRESS].
Formal notices under Section 14, including a notice of dispute or a demand for arbitration, must be sent to [MAILING ADDRESS] in writing. A support message is not notice.
